SAN DIEGO, June 21, 2021

On June 21, 2021, Raven announced that it had entered into a definitive merger agreement with CNH Industrial N.V. Under the terms of the definitive merger agreement, CNH Industrial will acquire all of the issued and outstanding shares of Raven common stock for $58 per share in cash.

The investigation concerns whether the Raven board failed to satisfy its duties to the Company shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for Raven shares of common stock.
