Luxembourg: B 186 314 Senior Secured Floating Rate Notes due 2021 ISIN Code: XS1071411547; XS1072185488 5.375% Senior Secured Fixed Rate Notes due 2021 ISIN Code: XS1071419524; XS 1072194803 Triton Fund IV has entered into a binding agreement to acquire Fläkt Woods Group, a leading player in the European HVAC market (the "Acquisition"). Following the successful consummation of the Acquisition, which is still subject to merger control approval, Fläkt Woods intends to enter into a business combination with DencoHappel, an air treatment company which is currently a business unit of Galapagos, another Triton Fund IV portfolio company. The combined standalone group of Fläkt Woods and DencoHappel will be able to benefit from synergies and will form a leading player in the European HVAC market. As a result of the intended sale of the DencoHappel unit, Galapagos will be able to over proportionally delever and will focus on its other two business segments Kelvion and Enexio with global coverage and regional expansion strategies. 18 August 2016 Galapagos S.A.
