Audio Pixels Holdings Limited Announces Successful Completion of Private Placement

SYDNEY, Dec. 20, 2012 /PRNewswire/ -- Audio Pixels Holdings Limited (ASX: AKP and OTCQX: APDXY) is pleased to announce that it has completed a successful private placement of 1,117,022 ordinary shares raising AUD5,585,110 from institutional and sophisticated investors. The placement was made at AUD5.00 per share by the Company.

The funds raised by the placement will be used towards:

  • Working capital
  • Discharge of bank borrowings
  • Continued investment in the development of its Digital Speaker project
  • Development of marketing programs

The value and timing of this placement goes beyond supporting our operations as it enables management to preserve the Company's strategic independence throughout critical negotiations with strategic partners.

Interests associated with the Chairman, Mr Fred Bart, have agreed to take up a further 200,000 shares at AUD5.00 (AUD1m) subject to shareholder approval at a general meeting to be called in the New Year.

Secondary Trading Exemption

The Corporations Act restricts the on-sale of securities issued without disclosure, unless the sale is exempt under section 708 or 708A. By the Company giving this notice, the sale of the Securities noted above will fall within the exemption in section 708A(5) of the Act.

The Company hereby notifies ASX under paragraph 708A(5)(e) of the Act that:

 As at 20 December 2012 the Company had complied with the provisions of Chapter 2M of the Act as they apply to the Company, and section 674 of the Act; and

i.

That has been excluded from a continuous disclosure notice in accordance with the ASX Listing Rules; and


ii.

That investors and their professional advisers would reasonably require for the purpose of making an informed assessment of:



A.

The assets and liabilities, financial position and performance, profits and losses and prospects of the Company; or



B.

The rights and liabilities attaching to the securities.
