PHILADELPHIA, June 23, 2016

As of the record date, April 29, 2016, there were 13,600,536 outstanding shares of the Fund.  87.45% of the outstanding shares were voted at the Meeting representing a quorum.

The description of the proposal and number of shares voted at the Meeting are as follows:

To re-elect two Class II Directors to the Board of Directors and elect one Class III Director to the Board of Directors:
