(TSXV: RG) (OTCID: RMIOF) (FSE: D4R) ("Romios" or the "Company") is pleased to announce that, pursuant to special resolutions passed by shareholders on January 16, 2026, and the approval of the TSX Venture Exchange, the Company has consolidated its capital on a ten (10) old for one (1) new basis and changed its name to Oreterra Metals Corp. Effective at the open on Monday, February 2, 2026, the common shares of Oreterra Metals Corp. will commence trading on the TSX Venture Exchange on a consolidated basis under the symbol 'OTMC'. www.oreterrametals.com.Prior to giving effect to the consolidation, the Company had 328,059,969 pre-consolidation shares issued and outstanding, in addition to 39,956,667 warrants and 8.700,000 options outstanding. Following the consolidation, the Company has approximately 32,805,996 post-consolidation shares issued and outstanding. In addition there are 3,995,666 warrants exercisable at $0.50 until between August 15, 2028 and December 27, 2029 (which later expiry date is subject to acceleration) and 870,000 options exercisable at between $0.50 and $0.80 until between April 19, 2026 and September 2, 2027.
No fractional common shares will be issued further to the consolidation. In the event a holder of common shares would otherwise be entitled to receive a fractional common share in connection with the consolidation, the number of common shares to be received by such shareholder will be rounded down to the next whole number and no cash consideration will be paid in respect of fractional shares.
The new CUSIP for the Company's post-consolidated common shares is 68616A100. A letter of transmittal will be mailed to registered shareholders on January 30, 2026 providing instructions with respect to surrendering share certificates representing pre-consolidation shares in exchange for post-consolidation shares issued as a result of the consolidation. Until surrendered, each certificate representing pre-consolidation shares will be deemed to represent the number of post-consolidation shares the holder will receive as a result of the consolidation. Shareholders who hold their shares in brokerage accounts or in book-entry form are not required to take any action.
