Servus Miteinander & frohe Weihnachtsfeiertage,
On October 13, 2006, our affiliate, Biophan Technologies, Inc. (“Biophan”), reported that SBI Brightline XI, LLC had failed to meet its obligation to purchase shares of Biophan common stock pursuant to a fixed price financing agreement. Based upon the current circumstances with Biophan, the disparity between the contractual strike price under the SBI Stock Purchase Agreement, and the current market price for our common stock, the affiliation between SBI Brightline XI, LLC and SBI Brightline XIII, LLC and the potential reluctance of SBI to honor future puts of NaturalNano common stock, our board and management are seriously concerned as to the viability of the financing from SBI. We are engaged in discussions with SBI and are reviewing our rights under the Stock Purchase Agreement as well as actively considering alternative sources of financing in the event we are unable to utilize the SBI facility.
20. Juli 2006: Biophan Technologies, Inc. Hires PR Financial Marketing
http://www.biophan.com/...ion=com_content&task=view&id=352&Itemid=104
07. September 2006: Biophan Launches New Website
http://www.biophan.com/...ion=com_content&task=view&id=402&Itemid=104
12. Oktober 2006: Biophan Signs $7.25 Million Private Placement with Institutional Investors
http://www.biophan.com/...ion=com_content&task=view&id=413&Itemid=104
In diesem Sinne!
