lch stell nicht alles rein was sich so tut sonst würd ich hier alles zumüllen. auch fehlt mir die zeit. also immer nur etwas wo ich denke das ist WESENTLICH für die escrow-holder hier: Neuberger kaufte MAXIMAL Equity (=Eigenkapital). So wie ich das hier lese könnte der grund die NOLS sein...:

1. QUESTION: Did Neuberger Berman management exercise its indirect right to purchase the maximum amount of equity that they could from the Company? How much of the equity interest in Neuberger Berman Group LLC was bought indirectly by management?
Response: NBSH Acquisition LLC purchased the maximum amount of equity it could from the Company, funding total purchases of $45 million for the nine months ended September 30, 2012 ($30 million during the second quarter and $15 million during the third quarter; there were none in the first quarter). 2. QUESTION: Would it be correct to assume that Lehman should be able to carry-back its 2008-generated Net Operating Loss (“NOL”) and receive a refund against the payment of taxes presented in the current federal provision for income taxes of Lehman’s Annual Reports (filed prior to LBHI’s Chapter 11 commencement date) for the years 2003 through 2007?
Response: The potential exists for the Company to generate benefits related to net operating losses from 2008 being carried back to offset certain previous years’ tax liabilities, including those resulting from IRS audit adjustments. However, please note that the amounts in the Provision for Income Taxes section included in previous LBHI Annual Reports are reported in accordance with Generally Accepted Accounting Principles, (“GAAP”) and can be substantially greater than the amount of tax liability (paid in cash) reported on the federal tax return.
