Letter in Support of Adversary Proceeding 10-51297
Your Honor,
Please consider this correspondence my support of the Motion for Summary Judgment/Motion to Compel a Shareholders meeting otherwise known as Adversary Proceeding # 10-51297. Equity Committee and Willingham/Esopus consolidated.
Corporate governance is the single most important element of a shareholder‘s rights. As you are well aware, WMI’s bankruptcy proceedings have been overwhelmed by questionable acts, conflicts of interest, and likely breach of fiduciary duties. Debtor’s council, retained by the acting Board of Directors, and paid for by the shareholders, has admitted in open court that WMI’s shareholders are their “adversaries”. By allowing this to happen, it clearly demonstrates that the current Board does not represent the vast majority of shareholders of this Company. It is for this purpose, that the bylaws of WMI were drafted in a manner that shareholders could exercise their right to elect new members on a yearly basis.
With an ever increasing urgency, Debtor’s council has chosen to rush through a global settlement agreement that provides full releases to all of our true adversaries, including the Board of Directors of WMI. As a result, it seems prudent that shareholders are granted their full corporate governance rights as expeditiously as possible. Our shareholder meeting will give us an opportunity to discuss our current corporate situation, determine the future direction needed, and elect a more representative Board of Directors capable of maximizing the true value of the estate.
The right to elect board members is one, of few, rights offered to an investor in return for our monetary support of a Company. With all due respect, it is imperative that the court uphold the well established case law governing this fundamental right. Furthermore, I respectfully ask the court side with the Equity Committee with regard to this matter.

Rosen und CO über ihren Teil des Berichts hermachen und überlegen wie Sie aus dem Schlamassel rauskommen.
Mir würde eigentlich schon reichen zuwissen wer momentan mehr Meetings zu WAMU hat :-)
Mir kommt das heutige Volumen extrem niedrig vor. Wir sind immoment knapp unter 200k, ist doch recht ungewohnlich eig. Zurückhaltung falls doch etwas nach Außen dringen sollte? Wahrscheinlichkeit dafür ja ziemlich gering, wenn man die letzten Seiten im Hinterkopf hat. Jemand eine Idee?
