Fellow Washington Mutual Shareholders,
As a participant in our Joinder effort, you are undoubtedly aware that shareholders have been trying to force WMI to hold a long-overdue annual shareholders' meeting. Such a meeting would allow us - the shareholders and owners of WMI - to exercise our right to elect a new Board of Directors. The initial actions in this effort came from the Equity Committee, which filed suit against WMI in Delaware bankruptcy court to force a meeting. On April 21 the bankruptcy judge ruled that individual shareholders have the right to take action in Washington State court.
On April 26 two WMI shareholders individually - and independently from the Equity Committee - initiated a lawsuit in Washington State court to compel WMI to hold an annual shareholders' meeting. Since this original filing, several motions have been filed over the lawsuit’s venue.
Regardless of the eventual venue, however, the fact remains that these two shareholders are pursuing a cause that could benefit us all. They are trying to secure our ability to hold an annual shareholders' meeting and elect our company’s Directors. Because the two shareholders are acting independently and not in concert with the Equity Committee, they have had to hire their own legal representation and personally cover the legal expenses, which have already run into the tens of thousands of dollars and will continue increasing as WMI vigorously attempts to derail the proceedings.
In response to the efforts of the two shareholders in Washington State, we initiated a fund-raising campaign a couple of weeks ago. With the Shareholders' Meeting Action Fund, we are collecting donations to help the two shareholders cover their legal expenses arising from the Washington State lawsuit. The donation process is being conducted through our shareholder rights web site, WamuEquityRights.org, which was used to conduct the Joinder effort.
