This deal does not appear to properly value this rapidly increasing profits of SFG.  While the industry was down 1.2 percent this year, SFG shares went up ten percent. Insiders will make $129 million as a result of the sale. And the takeover has several deal protection devices, like a $180 million termination fee, that make it unfair for ordinary stockholders.
