The investigation concerns whether Career Education and certain of its officers and/or directors violated Sections 10(b) and 20(a) of the Securities Exchange Act of 1934. 

On January 24, 2014, the Company filed a Form 8-K with the Securities and Exchange Commission ("SEC"), announcing that it has received inquiries from twelve states regarding the Company's business practices. The Attorney General of the Commonwealth of Pennsylvania has informed the Company that it will serve as the point of contact for the inquiries related to the Company. The inquiries focus on the Company's practices relating to the recruitment of students, graduate placement statistics, graduate certification and licensing results, and student lending activities, among other matters.

On this news, shares of Career Education fell $0.35 per share, or more than 5.7% on intraday trading to a price of $5.72 on January 27, 2014.
