NEW YORK, Oct. 9, 2017 /PRNewswire/ -- Bernstein Liebhard LLP is investigating whether the Board of Directors of Orbital ATK, Inc. ("Orbital" or the "Company") (NYSE: OA) is breaching its fiduciary duties to its shareholders by agreeing to sell the Company to Northrop Grumman Corporation ("Northrop") (NYSE: NOC). Under the terms of the acquisition agreement, Orbital's shareholders will receive $134.50 in cash for each Orbital share they own (the "Acquisition").
The investigation is focused on the potential unfairness of the consideration offered to Orbital shareholders and the process by which the Orbital Board of Directors considered and approved the Acquisition.
