Avance Gas Holding Ltd - Mandatory notification of trade

Bermuda, 21 October 2016. Reference is made to the announcement by Avance Gas Holding Ltd ("Avance Gas" or the "Company") dated 21 October 2016 regarding the successful completion of a private placement (the "Private Placement") of new shares (the "Offer Shares").

The following shareholders represented on the board of directors of Avance Gas have subscribed for and been allocated Offer Shares in the Private Placement at the subscription price of NOK 17 per Offer Share:

Stolt-Nielsen Gas Limited, a subsidiary of Stolt-Nielsen Limited, has been allocated 3,000,000 Offer Shares in the Private Placement. Stolt-Nielsen Gas Limited will hold 5,478,799 shares in the Company, representing approximately 8.8% of the shares and votes in the Company, following completion of the Private Placement.
Sungas Holdings Ltd has been allocated 3,000,000 Offer Shares in the Private Placement. Sungas Holdings Ltd will hold 5,478,799 shares in the Company, representing approximately 8.8% of the shares and votes in the Company, following completion of the Private Placement.
Hemen Holding Limited has been allocated 3,000,000 Offer Shares in the Private Placement. Hemen Holding Limited will hold 5,410,251 shares in the Company, representing approximately 8.7% of the shares and votes in the Company, following completion of the Private Placement.
