Und ganz wichtig, die MA-50 kreuzt gerade die MA-100 von unten, also wir haben aktuell ein Golden Cross, was meiner Meinung nach auch der Grund für den aktuellen Anstieg sein dürfte. Der Kurs ist gestern kurzfristig bis ans obere Bollinger Band gelaufen, und hat exakt in der Mitte der Bollinger Bänder geschlossen!

Ob das Einfluß auf die Wamu Geschichte hat, kann bisher noch niemand sagen.

Aber in der Regel werden bei Untersuchungen wegen Betrugs immer noch andere Beweismittel gefunden die evtl. mit dem Fall "Wamu" in Verbindung gebracht werden kann.

Aus dem Bericht geht hervor, das die Ermittlungen noch bis zum Ende der Amtszeit von Obama abgeschlossen sein soll.

Ich sehe das nicht so, der Artikel bestätigt zumindest, dass KKR aktiv mit dem WMIH BOD zusammen nach Kaufmöglichkeiten sucht, was so bisher meiner Meinung nach nie bestätigt wurde

Sie sehen es quasi wie eine Tochterfirma, wo sie investieren können, um Profits aus den NOLs zu schlagen. Und da sie wie wir auch Shareholder sind, wird dies über einen höheren PPS laufen, wovon wir alle profitieren werden. Wir sitzen zusammen mit ihnen im Boot.

Und die letzte Info ist, dass sie von Zeit zu Zeit nach weiteren Wachstumsmöglichkeiten ausschau halten wollen und in WMIH investieren wollen

Klar, eine starke Abhängigkeit von KKR ist vorhanden, aber ist dies negativ?!?

Hab dich schon vermisst, war ne richtig langweilige Zeit ohne deine Bewertungen hier :-)

Sie wollen nur sagen, dass sie selbst von Zeit zu Zeit strategische Zukäufe tätigen wollen. Hat nichts mit WMIH zu tun. Danke für die nette Belehrung nebenan. Hat auch nichts mit meinen mangelnden Englischkenntnissen zu tun, auch im Deutschen wäre dieser Satz nicht eindeutig. Zum Glück hätten es wahrscheinlich die meisten User hier angesprochen, aber bei dir weiß man ja schon, wo man nachschauen muss, und was einen zu erwarten hat... Also auch in der Hinsicht nichts neues!

But also we can see the creation of new businesses which we continue to do I mentioned a couple on there but we’ve mentioned our real estate credit business, our real estate business, our lending businesses across the number of different strategies. So we’ll continue to see new businesses and the ROE on that is quite high, so it allows us to get in businesses much more quickly.

It also frankly allows us to take bigger positions and things where we have a lot of conviction. Our two biggest investments on our balance sheet are First Data and Walgreens and that’s about $2 billion between those two investments. macht mir zusätzliche kopfschmerzen.

erkennt die IRS die NOls nicht nur dann an, wenn zukäufe "garantiert" nicht unter der prämisse gemacht werden, dass man (nur) die NOLs verwerten will?

ich hoffe, dass KKR auch genau weiss, wenn sie da bestechen müssen, damit ihnen dieser satz nicht womöglich auf die zehen fällt, grins.

Ich denke, solange sich KKR in ihrem gegenwärtigen "Beteiligungskonstrukt" in WMIH bewegen, gibt es keinen Konflikt mit der IRS. Diese will ja kategorisch nur die Möglichkeit der Akquisen von NOL-SPAC´s, bzw. NOL-reiche Firmen, verhindern. Eine Akquise sollte in diesem Sinne nicht möglich sein, ohne NOLs zu verbrennen. Dazu nochmal die Beschreibung der Section 382. Aber das kennst du schon.

"Section 382 and M&A Considerations

The treatment of a target's tax attributes (e.g. NOL) in an acquisition depends on the tax structure of the deal. Indeed, the target's tax attributes may dictate the structure of a transaction. In taxable acquisitions in which the acquired net assets are stepped-up for tax purposes, the target's NOL may generally be used immediately by the acquirer to offset the gain on the actual or deemed asset sale. Any remaining NOL of the target do not survive the transaction and are lost. Therefore, when the target has substantial NOL, the deal is often structured to achieve a step-up in the acquired net assets. For deals in which there is not a step-up for tax purposes, such as a stock acquisition without a Section 338 election, the target's NOL may be used by the acquirer in future years subject to limitation under Internal Revenue Code (IRC) Section 382.

The IRS created Section 382 to deter acquisitions of companies with substantial NOL solely motivated by tax avoidance objectives, without any valid business purpose. To accomplish this, Section 382 severely restricts the buyer's use of acquired NOL following a change in ownership, limiting annual use of such NOL to:

Purchase price of target's stock × IRS long-term tax-exempt rate

The Section 382 limitation may be circumvented if the target and buyer collaborate to sell unwanted target assets with unrealized built-in gains before the acquisition occurs. The target may then use its NOL to offset the gain on the sale without limitation. If the unwanted asset disposal occurred after the transaction, on the other hand, the NOL would be subject to limitation under Section 382 would not go as far in shielding the gain.

To find the current long-term tax-exempt rate used to compute the annual limit on NOL utilization under Section 382, visit the IRS' web site and search for "Applicable Federal Rate." Download the IRS' most recent revenue ruling on Applicable Federal Rates to find the long-term tax-exempt rate (see image below). The long-term tax-exempt rate for ownership changes in any given month is the highest of the adjusted federal long-term rates for that month and the prior two months.

KKR Leute wissen auch schon lange bescheid, dass eine Firma nur um die NUTZUNG der NOLS zu kaufen , nicht möglich sein wird.
Die IRS will die serioese /Zukauf/Fusion -nachweislich für echte Geschäft und nicht
NUR Vorteile für sich  und danach  adios amigos.
Auch im Lande der unbegrenzten  Möglichkeiten  gibt's Regeln die man anhalten sollte.

Da gab es ja etwas Durcheinander bei der Brokern, die diese Verteilung nicht gepeilt haben und die Escrows ausbuchen wollten oder schon ausgebucht hatten...
