SAN DIEGO, Dec. 2, 2016 /PRNewswire/ -- Shareholder rights law firm Johnson & Weaver, LLP has launched an investigation into whether the board members of Vascular Solutions, Inc. (NASDAQ: VASC) breached their fiduciary duties in connection with the proposed sale of the Company to Teleflex Incorporated. Vascular is a medical device company that provides clinical solutions for treating coronary and peripheral vascular disease worldwide.
On December 2, 2016, Vascular announced it had signed a definitive merger agreement with Teleflex. Under the terms of the agreement, Teleflex will acquire all of the outstanding shares of Vascular common stock for $56.00 per share in cash.
The investigation concerns whether the Vascular board failed to satisfy their duties to the Company shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for Vascular shares of common stock. Nationally recognized Johnson & Weaver is investigating whether the proposed deal price represents adequate consideration. A price target of $58.00 was initiated by at least one analyst covering the stock.
