(NASDAQ: MSPD). Mindspeed Technologies announced that it has entered into a definitive agreement to be acquired by M/A-COM Technology Solutions Holdings, Inc. (NASDAQ: MTSI), for $5.05 per share in a cash tender offer.
The investigation concerns whether the board of directors of Mindspeed Technologies has breached their fiduciary duties by not obtaining the maximum value for shareholders. Indeed, the sale of the company may not include any sale of the company's wireless business, which, if sold, the proceeds of which may go to M/A-COM and/or other equity holders of Mindspeed Technologies but may not be shared with Mindspeed Technologies shareholders who may only get the tender offer price of $5.05 per share, which is below where the stock traded earlier this year ($5.27).
