The investigation concerns whether Stryker and certain of its officers and/or directors have violated Sections 10(b) and 20(a) of the Securities Exchange Act of 1934.

On August 23, 2017, Stryker revealed that it had notified the U.S. Food and Drug Administration ("FDA") of its voluntary product recall of some of its Oral Care products that were distributed between July 2015 and August 2017.  This recall followed a warning letter from the FDA that the Company received on July 17, 2017, describing potential for cross-contamination of Oral Care products manufactured by a third party on equipment shared with non-pharmaceutical products, and after reports of minor irritations and allergic reactions, Stryker ceased its business relationship with the third-party supplier. Stryker then advised its shareholders that based on the assessed impact of the abovementioned issues on sales and operating income, it now projects its full-year organic sales growth and adjusted net earnings per diluted share to be at the lower end of its previously stated ranges of 6.5% to 7.0% and $6.45 to $6.55, respectively. Following this news, Stryker stock has dropped as much as $7.81 per share, or 5.37%, during intraday trading on August 23, 2017.
