SAN DIEGO, Sept. 18, 2017 /PRNewswire/ -- Shareholder rights law firm Johnson Fistel, LLP has launched an investigation into whether the board members of Orbital ATK, Inc. (NYSE: OA) ("Orbital") breached their fiduciary duties in connection with the proposed sale of the Company to Northrop Grumman Corporation (NYSE: NOC) ("Northrop Grumman"). Orbital develops and produces aerospace, defense, and aviation-related products for the U.S. Government, allied nations, prime contractors, and other customers in the United States and internationally.
On September 18, 2017, Orbital announced that it had signed a definitive merger agreement with Northrop Grumman. Terms of the deal call for shareholders to receive $134.50 per share for each share of Orbital stock they own.
The investigation concerns whether the Orbital board failed to satisfy its duties to the Company shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for Orbital shares of common stock.
