Under the terms of the agreement, IXYS shareholder will receive (i) 23.00 in cash (subject to applicable withholding tax), without interest (referred to as the cash consideration), or (ii) 0.1265 of a share of common stock, par value $0.01 per share, of Littelfuse (referred to as the stock consideration and together with the cash consideration, the merger consideration) (the "Merger Consideration"). The complaint alleges that this offer is inadequate and alleges that the Registration Statement in Form S-4 (the "Proxy") provides materially incomplete and misleading information about the Company's financials and the transaction, in violation of Sections 14(a), and 20(a) of the Exchange Act.
