Under the terms of the offer, Greystar would acquire Monogram in a transaction valued at approximately $3 billion.  Pursuant to the deal, Monogram stockholders will receive $12.00 per share.  At least one Wall Street analyst has set a target price for Monogram stock of $12.50 per share.

Our investigation concerns whether the Monogram board of directors is fulfilling its fiduciary duties, maximizing the value of the Company, disclosing all material benefits and costs, and obtaining full and fair consideration for Company stockholders.
