Under the terms of the offer, Consolidated Communications would acquire FairPoint in a transaction valued at approximately $1.5 billion. Pursuant to the deal, FairPoint stockholders will receive 0.73 shares of Consolidated Communications common stock per share of Fairpoint, an approximate value of $19.89.
