SAN DIEGO, Jan. 12, 2017 /PRNewswire/ -- Shareholder rights law firm Johnson & Weaver, LLP has launched an investigation into whether the board members of Calamos Asset Management Inc. (NASDAQ: CLMS) breached their fiduciary duties in connection with the proposed sale of the Company, announced on December 19, 2016, to an entity formed by the Company's Chairman and CEO. Calamos provides investment advisory services to individuals including high net worth individuals, institutions, major corporations, pension funds, endowments, foundations and individuals, as well as the financial advisors and consultants who serve them.

Under the terms of the proposed transaction, shareholders of Calamos will receive only $8.25 in cash for each share of Calamos that they own.

The investigation concerns whether the Calamos board failed to satisfy their duties to the Company shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for Calamos shares of common stock. Nationally recognized Johnson & Weaver is investigating whether the proposed deal price represents adequate consideration. Calamos stock traded at over $12 per share in June 2015 and would result in a loss for many shareholders.
