Luxembourg: B 186 314 Senior Secured Floating Rate Notes due 2021 ISIN Code: XS1071411547; XS1072185488 5.375% Senior Secured Fixed Rate Notes due 2021 ISIN Code: XS1071419524; XS 1072194803 Galapagos Holding S.A.: Sale of subsidiary and conditional redemption of EUR191,550,000 Senior Secured Floating Rate Notes Galapagos Holding S.A. (Galapagos Holding), a portfolio company of Triton Fund IV (Fund IV) announced that Fund IV has entered into a binding agreement to acquire Fläkt Woods Group, a leading player in the European HVAC market. The transaction has been cleared by the relevant merger control authorities and is expected to be legally completed on or before October 12, 2016. Following completion of the acquisition, DencoHappel Holding GmbH, an air treatment company, will be transferred into the same structure as the Fläkt Woods Group from Galapagos BidCo S.à r.l. (Galapagos), a subsidiary of Galapagos Holding, at a total purchase price of EUR255,400,000. Galapagos S.A., a subsidiary of Galapagos Holding, will use an amount of EUR191,550,000 to effect a conditional redemption of a portion of its Senior Secured Floating Rate Notes (the Senior Notes), subject to the closing of the transaction and will reinvest EUR63,850,000 in the combined Fläkt Woods / DencoHappel group.
