Exclusion of minority shareholders and merger of ESSANELLE HAIR GROUP AG into HairGroup AG now effective 12.08.2014 The merger of ESSANELLE HAIR GROUP AG, Düsseldorf, into HairGroup AG, Düsseldorf, took effect today by way of inclusion in the Commercial Register entry of HairGroup AG. ESSANELLE HAIR GROUP AG is thus now defunct. At the same time, the resolution adopted by the Annual General Meeting of ESSANELLE HAIR GROUP AG on 27 June 2014 concerning the transfer of shares held by minority shareholders in ESSANELLE HAIR GROUP AG to HairGroup AG in return for an appropriate level of cash compensation, amounting to EUR 11.27 per no-par bearer share in ESSANELLE HAIR GROUP AG, pursuant to § 62 (5) of the German Commutation Act (UmwG) in conjunction with § 327a et seq. of the German Stock Corporation Act (AktG) has also become effective (commutation squeeze-out). As a result, all of the shares held by minority shareholders in ESSANELLE HAIR GROUP AG have been transferred to HairGroup AG. Stock market trading with shares in ESSANELLE HAIR GROUP AG will initially be suspended without delay and then discontinued in the near future. Any stock market trading taking place prior to such measure merely constitutes trading with the cash compensation claims of minority shareholders. In respect of the execution of these measures, reference is made to the announcement concerning the squeeze-out due to be published shortly by HairGroup AG in the Federal Gazette (Bundesanzeiger).
