What is Sinobull.com joint venture?

Sinobull is a secure online trading financial portal in China. The portal access technology through China telecom's China Pac 162 private network, by computer or Legend's "Stock Easy" set top boxes or wireless technology platform mobile phones and wireless PDA's (Personal Digital Assistants) using Innostar.

Sinobull Joint venture consists of:
1. UAC e-trading network in China;
2. FTL a 14-year-old company featuring financial data bank service in Hong Kong;
3. StreamingAsia.com delivers streaming media solutions and web design;

What Is Innostar?

Innostar is a development stage nationwide Internet Service Provider (ISP) and IP Phone Service in China. Innostar has been operating an IP Phone Service in Beijing for the last 14 months, in cooperation with a leading Chinese telecom company. ESAT Inc. was partnered to provide in providing high-speed Internet connections via satellite. Over the 3 months Innostar's partners and plan will unfold to become worth 5 times that of the Sinobull IPO. Innostar JV is due to IPO in the spring of 2001.

What is SCIC?
Sichuan China Integrated Cable Network Co. Ltd. (SCIC) is the newest of HRCT's joint venture investments. In combination with Shenzhen Sinlan Investment Co, SCIC will use the exclusive TV cable network in the capital city of Chengdu, Sichuan province to synergize Sinobull and Innostar.

Dr. Alan Phan, President
54, a graduate of Pennsylvania State University
and Sussex College of Technology,
is the founder and has been the Chairman and Chief
Executive Officer of Hartcourt since 1990. From
1986 to 1990, he was the Executive Vice President
for Em Kay Group, in charge of international projects
and aircraft sales. Prior to 1986, for a period of 16
years, Alan owned and managed other business
enterprises including UBI Business Brokers, Delta
Savings Bank, KIP Pictures, Alpha Supermarkets,
and Alpha Real Estate Development.

Michael Bianco President and CEO Sinobull
Mr. Bianco has worked for some of the most prestigious
financial institutions, including Chase Manhattan,
Loeb Rhoades, Security Pacific, Bank of California,
Barclay's Bank, Hibernia Bank and American Capital
Markets. He is also the former Managing Director of
Corporate Financial Consulting for Arthur Anderson & Co.,
and currently an advisor to W.I. Harper Group, which manages
4 venture funds with a total investment of $250 Million
in 43 operating companies in China.

Mr Yang started his career
as a founding member of Wang Computer Inc., the
earliest US joint venture in China, and grew the
company to a leading computer networking company
by 1986. He has also held key management
positions in his career, including Product and
Business Planner of Nortel Networks (NYSE: NT),
Senior Product Manager of Hughes Network
Systems (NYSE: GMH), Product Line Director of
Watkins-Johnson (NYSE: WJ), and Chief Operating
Officer of Teletronics International. In 1994, he
contributed to the setup of the Nortel's first research
and development center in Beijing. In 1997, he presented
Hughes Networks in China to the President of China during
his visit with Hughes Electronics' Chairman/CEO at Hughes
Headquarters. Most recently, Charlie was the
President and CEO of Beijing Xinwei Telecom Ltd., a
joint venture owned and invested in by the Chinese
Ministry of Information Industry (MII) and W. I. Harper
Group. Beijing Xinwei is a leading wireless access
company and has developed core technologies for
International Telecommunication Union (ITU)'s next
generation wireless standards. Dr. Charlie Q. Yang
obtained his BS in Electrical Engineering at University
of Science and Technology of China, MS and Ph.D. in
Wireless Telecommunications at University of Victoria in
Canada.

Mr. Duc Duong CTO Hartcourt
Obtained his BS. and MS. degrees in
Computer Science from the University of
Pennsylvania and has specialized in building
network infrastructure for E-Commerce platforms,
managing data centers and Web farms for online
transactions, and the development of wireless and
broadband application delivery systems. Mr. Duong
also has expertise in RDBMS database management
and programming, Unix systems administration,
server and network security, network load
optimization, and e-business server applications
such as OpenMarket, Dynamo, and Netscape
products.

Jack Westfield, 47, is the Vice President of
Corporate Finance. A graduate of Butler University,
he has over 20 years of experience providing
financial services to individual and corporate clients.
Jack was a Vice President in the investment
departments with both Drexel Burnham Lambert and
Smith Barney. In 1996, Jack became the Director of
Corporate Finance for ETM Entertainment Network,
and was responsible for securing a significant
private placement which allowed the early stage
company to undertake an ambitious business plan.

Simon Shi Zhang is the Founder and Chief
Executive Officer of UAC Stock Exchange Online,
which was created in June 1998. Previously an
interpreter for the delegation of the Chinese Ministry
of Posts and Telecommunications to Europe, Mr.
Zhang later served as a systems engineer,
interpreter and group leader for China National
Telecommunications Construction Corporation, and
as a supervisor for French based Alcatel's
installations in Heilongjiang and Hunan provinces.
Mr. Zhang holds a Bachelors degree in
Communications & Engineering from Beijing
University of Posts & Communications, a Masters in
Business Administration from the College of
Economics of Tsinghua University and has been
published in various Chinese technology journals
and periodicals.

Stephen Tang, 47, has been involved in the
development and implementation of consumer
technologies for nearly 20 years. He is the Founder
of Financial Telecom, Ltd. and has been its Chief
Executive Officer since 1985. Mr. Tang holds a
degree in Business Management from Hong Kong
Baptist University and a Masters in Business
Administration from AIM-Asia Institute of
Management in Manila. Stephen's contributions to
FinTel include the development of new and
innovative products and the creation of strategic
alliances in China, Taiwan, Korea and the U.S. Prior
to founding FinTel, Mr. Tang was engaged in
investment banking activities with Hong Kong based
Bancom and Asiavest Ltd. where he served as
Deputy General Manager.
