Rambus legt beim Umsatz zu und erneut keinen Quartalsbericht vor

Der US-Chiplizenzhändler Rambus hat wegen einer laufenden Untersuchung seines Aktienoptionsprogramms erneut keinen detaillierten Quartalsbericht vorgelegt. Die Börsenaufsicht SEC ermittelt gegen Rambus und andere US-Unternehmen wegen zurückdatierter Aktienoptionen für Mitarbeiter. Laut einem im Oktober 2006 vorgelegten Zwischenbericht der firmeninternen Ermittlungen war eine signifikante Anzahl der gewährten Optionen nicht korrekt datiert oder verbucht worden. Rambus erwartet dadurch zusätzliche Belastungen von über 200 Millionen US-Dollar. Der für das Optionsprogramm maßgeblich verantwortliche ehemalige CEO Geoff Tate war wegen der Untersuchung aus dem Vorstand ausgeschieden.

Rambus muss die Finanzberichte vergangener Quartale revidieren und erneut vorlegen. Der Aktie des Unternehmen droht nun der Ausschluss von der US-Technologiebörse NASDAQ. Das für die Einhaltung der Notierungsvoraussetzungen zuständige Gremium hatte Rambus für die Wiedervorlage der Finanzberichte der vergangenen Quartale eine Frist bis zum 9. Februar gesetzt. Eine weitere Verlängerung sei unwahrscheinlich, heißt es in einer Mitteilung von Rambus. Sollte Rambus die Frist nicht einhalten können, wird das Papier zum 12. Februar aus dem Handel genommen. Das Unternehmen hat die Berufungsinstanz der NASDAQ jedoch gebeten, die Entscheidung vorerst auszusetzen.

Nach den am gestrigen Mittwoch bekannt gegebenen vorläufigen Zahlen hat Rambus im vierten Quartal des Geschäftsjahres 2006 einen Umsatz von 51,7 Millionen US-Dollar erzielt und damit 24 Prozent mehr als im Vergleichszeitraum des Vorjahres (41,59 Millionen US-Dollar) . Für das Gesamtjahr gibt Rambus den Umsatz mit 194,2 Millionen US-Dollar an, was eine Steigerung von 24 Prozent gegenüber 2005 bedeutet (157,2 Millionen US-Dollar). Die Umsatzsteigerung schreibt das Unternehmen neuen Lizenzeinnahmen zu und weist in diesem Zusammenhang auch auf den jüngst geschlossenen Vertrag mit der ehemaligen Infineon-Speichersparte Qimonda hin. Zahlen zum Konzerngewinn gab Rambus nicht bekannt.

Rambus meldet Rekordumsatz

LOS ALTOS - Der amerikanische Speicherchipentwickler Rambus (Nasdaq: RMBS, WKN: 906870) kann das Jahr 2006 mit einem Rekordumsatz abschließen. So berichtet das Unternehmen von einem Umsatzanstieg auf 194,2 Mio. US-Dollar, ein Zuwachs von 24 Prozent gegenüber dem Jahr 2005.

Für das vergangene vierte Quartal meldet Rambus einen Umsatz von 51,7 Mio. Dollar - ein Plus von 24 Prozent gegenüber dem gleichen Zeitraum des Vorjahres. Angaben zum erzielten Gewinn teilte Rambus mit dem Verweis auf anhaltende Untersuchungen im Bezug auf die Rückdatierung von Aktienoptionen nicht mit.

Bei Rambus heißt es lediglich, dass man das Jahr 2006 mit Barreserven von 436,3 Mio. Dollar abschließen konnte, ein Zuwachs von 81 Mio. Dollar gegenüber dem Jahr 2005. Gleichzeitig teilte Rambus mit, dass man die Neudarlegung der Finanzergebnisse voraussichtlich nicht bis zum 9. Februar 2007 schafft. Damit droht dem Unternehmen ein De-Listing von der Nasdaq-Börse am 12. Februar. Zuvor hatte sich das Unternehmen von seinem ehemaligen Rambus-Chef Geoff Tate aufgrund festgestellter Unregelmäßigkeiten bei der Datierung von Aktienoptionen getrennt. (ami)

Kurz-Kommentierung: Die RAMBUS Aktie kippte Ende November 2006 doch nochmals an der 24,28 $ Marke nach unten hin ab und fiel bis in den benannten Unterstützungsbereich bei 18,79 - 19,60 $ zurück, wo sie sich aktuell stabilisiert. Her kann sie nun wieder signifikant nach oben drehen. Steigt die Aktie per Tagesschluss über 20,36 $ an, wird ein kurzfristiges Kaufsignal mit Ziel bei 24,28 $ ausgelöst. Steigt die Aktie per Tages- und Wochenschluss über 24,28 $ an, wird das nächste Kaufsignal mit Zielen bei 32,96 - 36,15 $ ausgelöst. Fällt sie hingegen per Tagesschluss unter 18,10 $ zurück, drohen weitere Abgaben bis 17,10 und ggf. 15,80 $.

The Commission has issued an Order setting the maximum royalty rate that Rambus can collect on sales made of certain JEDEC-compliant parts after the Order becomes effective, as follows: 0.25% for SDRAM products; 0.5% for DDR SDRAM products; 0.5% for SDRAM memory controllers or other non-memory chip components; and 1.0% for DDR SDRAM memory controllers or other non-memory chip components. The Commission has further provided in its Order that these maximum rates will be in effect for three years, after which time the maximum rates will be 0%. The Order also mandates that Rambus offer a license for these products on terms set by the Commission, including a further cap on the non-memory rates that can be sought on broader systems. The Commission determined that its remedy would not apply to DDR2 SDRAM or other post-DDR JEDEC standards. "While we believe it appropriate that the Commission did not reach DDR2, GDDR2, or succeeding generations, we are nevertheless disappointed that the Commission's remedy with respect to SDRAM and DDR SDRAM continues to ignore the extensive findings of fact made by its own Chief Administrative Law Judge McGuire," said Tom Lavelle, senior vice president and general counsel for Rambus. "Because we strongly disagree with a number of the Commission's determinations, we plan to appeal its decision. We believe that a fair review of the underlying facts will restore the perspective of the Chief ALJ who exonerated Rambus by dismissing the complaint." Rambus intends to move for a stay of the Order pending its appeal of both the liability findings and the remedy. Absent a stay, this Order will become effective in 60 days. The FTC brought antitrust charges against Rambus in 2002. Chief Administrative Law Judge Stephen McGuire held a three month trial on these charges in the spring of 2003, after which he dismissed the FTC's complaint in early 2004. Chief Judge McGuire's initial decision made over 1,600 detailed findings of fact in Rambus's favor. The FTC's own Complaint Counsel appealed this initial decision to the Commissioners, who have now rendered this decision with respect to remedy. Kurz-Kommentierung: Nach einem Abverkaufstief bei 10,25 $ konnte Rambus ab August 2006 wieder zu einer Aufwärtsbewegung starten. Der Kurswerklauf erreichte zunächst ein Hoch bei 23,83 $ und konsolidierte den Anstieg aus. Ausgehend von der bei 17,14 $ liegenden Unterstützung konnte sich die Aktie dann wieder nach oben lösen und nach dem Quartalsbericht die 23,83 $ wieder erreichen. Es folgt darunter auf hohem Niveau eine Konsolidierung, welche bullisch zu werten ist. Gelingt jetzt der Ausbruch daraus über 23,83 $ auf Schlusskursbasis, eröffnet sich weiteres Kurspotenzial in den Bereich 28,62-30,89 $. Ein Rückfall unter 21,57 $ auf Schlussbasis würde hingegen zuvor nachgebende Notierungen bis in den Bereich 19,95 $ wahrscheinlich werden lassen.

Rambus (RMBS - Cramer's Take - Stockpickr) jumped nearly 7% after the Federal Trade Commission granted a provisional stay for portions of a remedy it issued last month regarding royalties the chipmaker can collect on certain of its licensed products -- which the FTC had capped at less than 1% for the next three years, after which royalties would be barred entirely.

During the stay, which is effective as soon as Rambus files an appeal, the company can be paid royalties above those caps on SDRAM and DDR SDRAM products. The FTC also stated that Rambus can still collect royalties for "use of its technologies in the past" and doesn't need to refund any royalties it has already been paid. Shares of the Los Altos, Calif., company were up $1.31 to $21.14.

Rambus gewinnt Gerichtsverfahren um Speicherchip-Lizenzen  
Lange hat es gedauert, nun hat sich Rambus durchgesetzt: Richter Ronald M. Whyte und die Jury des nordkalifornischen Distriktsgericht in San Jose haben das Unternehmen von dem Vorwurf freigesprochen, sich in den 90er-Jahren als Mitglied im DRAM-Normungsgremium der Industrievereinigung JEDEC falsch verhalten zu haben. Auf ein angebliches Fehlverhalten der Firma Rambus, die insbesondere Patentanmeldungen verschwiegen haben sollte, stützte sich aber die Zurückweisung von Lizenzzahlungen, die Rambus von den Speicherchipfirmen Hynix, Micron und Nanya für deren SDR- und DDR-SDRAM-Chips fordert.

Nachdem Richter Ronald M. Whyte die Entscheidung verkündet hatte, schoss gestern der Kurs der Rambus-Aktie an der New Yorker Börse um mehr als 25 Prozent in die Höhe; der Schlusskurs von 25,86 US-Dollar ist freilich noch meilenweit entfernt von den Höhenflügen jenseits der 100-Dollar-Marke, die der Rambus-Aktienkurs zu Zeiten des New-Economy-Booms Anfang des Jahrtausends absolviert hatte.

Das nun beendete Verfahren vor dem Gericht in San Jose ist sehr verzwickt, denn es handelt sich dabei eigentlich um mehrere Einzelklagen, die ursprünglich teils von Rambus, teils von den drei Kontrahenten eingereicht wurden, aber schließlich in den Kernfragen gemeinsam behandelt wurden. Der springende Punkt ist die bereits erwähnte Frage, ob sich die Firma Rambus zu der Zeit, als sie Mitglied im DRAM-Normungsgremium war, korrekt verhalten hatte. Die Rambus-Kontrahenten warfen dem Unternehmen vor, Antitrust-Gesetze verletzt zu haben, weshalb es keine Lizenzgebühren für die Nutzung der strittigen Patente fordern dürfe. Für das angeblich regelwidrige Verhalten von Rambus konnten die Anwälte von Hynix, Micron und Nanya aber keine ausreichenden Beweise beibringen.

Die Firma Hynix wird nun wohl jene 133,6 Millionen US-Dollar überweisen müssen, auf die sie sich nach dem Urteilsspruch – ebenfalls von Richter Whyte – 2006 mit Rambus geeinigt hatte. Micron und Nanya müssen sich nun noch mit Rambus einigen; die Wettbewerbskommission FTC hatte die Höhe der Lizenzzahlungen zwischenzeitlich begrenzt.

Micron weist indes die Gerichtsentscheidung zurück und will Berufung einlegen. Micron ist weiterhin der Ansicht, dass Rambus Antitrust-Gesetze verletzt und betrogen habe. Die Gerichtsentscheidung stehe zudem im Widerspruch zum Urteilsspruch der FTC aus dem August 2006, der auch Ausgangspunkt einer Untersuchung der Europäischen Kommission ist. Zudem seien einige Rambus-Patente umstritten, eines wurde etwa vom Europäischen Patentamt im Jahr 2004 gelöscht. Auch nach fast zehn Jahren ist also das letzte Wort im Streit zwischen Micron und Rambus noch längst nicht gesprochen.

Hynix May Pay $51 Million to Rambus for U.S. Access (Update1)

July 15 (Bloomberg) -- Hynix Semiconductor Inc., the world's second-largest maker of memory chips, may be forced to pay Rambus Inc. more than $51 million a year, or 11 cents a share, rather than be barred from its $1.2 billion computer-chip market in the U.S. by a federal judge in California.

If Hynix gives in, larger competitor Samsung Electronics Co. and Micron Technology Inc. -- both in similar patent-infringement suits with Rambus -- probably won't be far behind, according to James Hopenfeld, a patent lawyer at Ropes and Gray in Washington. Rambus, based in Los Altos, California, is a designer and licensor of chips used in such products as Sony Corp.'s PlayStation video game.

``This is going to be a bellwether'' decision, Hopenfeld said. ``There's a strong likelihood the other cases will follow, but it's not guaranteed because there could be differences in the facts.''

Prospects of a settlement were elevated after Rambus asked U.S. District Judge Ronald Whyte last month to block Ichon, South Korea-based Hynix from selling dynamic random access memory, or DRAM, chips in the U.S. The judge is likely to grant an injunction, the most severe punishment in such a suit, given that a jury ruled in a previous trial that Hynix illegally used Rambus's patent designs, according to patent attorney Robert Sterne.

Rambus has ``a better than 50 percent chance'' of getting a court order, said Sterne, a partner in Sterne, Kessler, Goldstein & Fox in Washington. ``I don't see any reason why a judge wouldn't grant an injunction.''

BlackBerry Suit

In a comparable case, Research in Motion Ltd. agreed in 2006 to pay NTP Inc., an Arlington, Virginia-based patent company, $612.5 million because a judge was likely to shut down its BlackBerry e-mail service in the U.S., said Sterne, who isn't involved in the Rambus suits.

``Injunctions force resolution, every time,'' he said.

Hynix's U.S. DRAM sales last year were $1.2 billion, according to the El Segundo, California-based research firm iSuppli Corp. In a settlement, Rambus might charge royalties of 4.25 percent to 7 percent of sales, court papers show. That would mean annual payments by Hynix of $51 million to $84 million.

The lower rate is what Whyte used to set damages in a previous phase of the case and is based on Rambus's royalties from Hitachi Ltd. for an earlier version of DRAM. Seven percent is the top rate Rambus proposed to the court as appropriate for Hynix's use of its technology.

Besides banning Hynix sales, the judge can also order the company to buy a license from Rambus at a rate he sets or force the parties to arrive at one, said Ropes and Gray's Hopenfeld.

Hynix Statement

It's unlikely Whyte will issue an injunction, Hynix said in an e-mailed statement. He should deny Rambus's request because the California company makes no product, Hynix said, vowing to appeal any court order against it.

Last week, the South Korean chipmaker asked Whyte to consider a decision by the U.S. Patent and Trademark Office to review four Rambus patents at issue in the Hynix case. Hynix is using the review -- originally requested by Samsung Electronics, another defendant facing a Rambus suit in Whyte's court -- to argue that an injunction is ``inappropriate'' because the agency or an appeals court might later invalidate the Rambus patents.

Hynix's request ``probably won't make too much of a difference,'' Hopenfeld said. Whyte has a jury verdict that Rambus's patents are valid and infringed, while the ``outcome of the re-examination is still a ways away.''

Judge's Remarks

At a June 24 hearing, Whyte said Rambus made a ``fairly persuasive argument that it has been and will be irreparably harmed in future competition'' without an injunction barring sales of DDR3. Rambus claimed -- and a jury agreed -- that DDR3 used the designer's most recent technologies for speeding information flow in computers, called XDR and XDR2 chips.

The judge didn't immediately address DDR2, which has a 79 percent share of the current market, according to iSuppli.

Whyte is ``looking at this on a product-by-product basis, and he's looking very carefully at this issue of irreparable harm,'' Hopenfeld said. ``If the judge thinks a given product is going to pose competitive risks to Rambus's products, even if they're just designing products, that's going to weigh powerfully in favor of an injunction.''

Hynix is the first of four chipmakers to end a Rambus patent suit in Whyte's court over memory. Those remaining are Samsung, based in Suwon, South Korea; Micron, of Boise, Idaho; and Nanya Technology Corp., based in Taiwan.

Balance of Supply

After working its way through a two-year glut of memory chips, the industry is approaching a balance of supply and demand that might be disrupted by an injunction, said Bob Merritt, a vice president at Semico Research Corp., a Phoenix-based semiconductor consulting company. Computer makers such as Dell Inc. might face shortages, he said. Dell spokesman Jess Blackburn declined to comment.

``Whatever applies to Hynix is going to have some sort of impact on all the manufacturers, so this is not just a Hynix issue,'' Merritt said. ``Hynix just happens to be the first one up.''

It would be difficult to win an appeal of any decision Whyte makes, Hopenfeld said.

``He is one of the most highly regarded district court judges in the country when it comes to experience with patent cases,'' the lawyer said.

Rambus yesterday fell 60 cents, or 3.5 percent, to $16.46 in Nasdaq Stock Market trading. Hynix fell 4.5 percent, to 22,150 won in Seoul trading today.

The case is Hynix Semiconductor Inc. v. Rambus Inc., 00-cv- 20905, U.S. District Court, Northern District of California (San Jose).
