MONTAN MINING CORP. CLOSES UNIT PRIVATE PLACEMENT, ANNOUNCES CONVERTIBLE NOTE PLACEMENT

Montan Mining Corp. has closed its unit private placement announced on June 11, 2015. The company issued 2,947,778 units at a price of 18 cents per unit for gross proceeds of $530,600.04. Each unit consists of one common share and one-half of one non-transferable share purchase warrant, with each warrant entitling the holder thereof to acquire one additional common share of the company for a period of two years from the date of issuance at an exercise price of 25 cents per warrant share.

Other details of the private placement were announced in the company's news release of July 6, 2015.

The company also announces that it has arranged for a convertible note private placement of up to $1-million in convertible notes. Each note accrues simple interest at 14 per cent per year, which has been prepaid until maturity, being one year from issuance. The principal amount of each note is convertible at any time at a price of 12.5 cents into units of the company comprising one common share and one common share purchase warrant. Each whole warrant may be exercised at an exercise price of 17.5 cents into one additional common share of the company for a period of two years from closing of the note financing. The securities issued will be subject to a four-month-and-one-day hold period.

Finders' fees may be payable in connection with the convertible note financing, and the financing is subject to TSX Venture Exchange approval.

The proceeds of the offering will be used to advance the company's operations at the Mollehuaca gold processing plant in anticipation of its acquisition, as announced by the company on June 11, 2015, and for working capital.

Montan Mining Corp. has closed the first tranche of its convertible note placement announced on Aug. 25, 2015. The company issued convertible notes in the aggregate amount of $216,860.38. Each note accrues simple interest at 14 per cent per annum, which has been prepaid until maturity, being one year from issuance. The principal amount of each note is convertible at any time at a price of 12.5 cents into units of the company comprising one common share and one common share purchase warrant. Each whole warrant may be exercised at an exercise price of 17.5 cents into one additional common share of the company for a period of two years from closing of the offering. The company expects to close additional tranches of the offering in coming weeks.

The proceeds of the offering will be used to advance the company's operations at the Mollehuaca gold processing plant in anticipation of its acquisition, as announced by the company on June 11, 2015, and for working capital.

The company did not pay any finders' fees in connection with the offering.

The securities issued in connection with the closing of the offering are subject to a restricted period that expires on Dec. 29, 2015.

Hier kann man ja gut sehen, wo das hart eingenommene Aktionärsgeld hingeht.. G&A (General And Administrative Expense) und Promokampagnen (IR Kosten, consulting usw) fressen ja fast alles auf..

passiert hier herzlich wenig. Klar Inca muss auch immer wieder Gelder einsammeln, aber das meiste wird vermutlich zu Erzkäufen verwendet um die Anlage beschicken zu können. Hier wird erstmal eingesammelt um die Gehälter des Managements decken zu können...

Es ist, so wie ich es verstanden habe kein Tausch von Aktien angedacht.

Inca gibt an Montan 7 Millionen Aktien. Diese wird Montan an seine Aktionäre verteilen. Pro Montan Aktie wird es einen gewissen Anteil einer Inca Aktie geben.

Wie gesagt, die Montan Aktien bleiben, natürlich fehlt aber nun das Geschäftsmodell.

hervorragend, danke für die aufklärung. Was bleibt da am Ende übrig? Die Story war ja Toll-Mining, dafür braucht man ja eine Anlage ;)
Die Bergbaurechte gehen ja auch an Inca...für was steht denn dann Montan überhaupt noch?

Hatte auf beide Pferde gesetzt (Inca und Montan)- Zumindest das eine scheint Ritt aufzunehmen.

Hatte auch Mailkontakt mit dem CEO. Es gibt Ideen für ein neues Geschäft, allerdings darf oder kann erst nach Abschluss der Transaktion mit Inca darüber berichtet werden.

Was ich davon halten soll, weiß ich auch nicht.

Und das Verhältnis der Aktien soll ungefähr so sein: pro Montan Aktie gibt es 0,22 Inca Aktien.

oder wie gehts jetzt nachdem geplatzten Inca deal weiter? Hat hier jmd Infos?

ich habe vor kurzem eine mail an das Management geschrieben und mich nach dem Unternehmensstatus erkundigt. Die HP hatte ja den Stand von September '15 und es gab keinerlei gute NAchrichten von der Firmenseite - eher noch die schlechte mit dem gescheiterten Inca Assettausch.
Also die HP ist nun aktuell. Die Assets von Goldsmith werden nun nach der Due dilligence an diese zurück gegeben. Ansonsten arbeiten das Unternehmen gerade mit niedrigster cahs-burn-rate und fokussiert sich auf sein Alicia-Projekt.

spiele und selbst auch ein wenig skeptisch dem Toll-Minig gegenüberstehe, so muss ich doch sagen, dass hier einiges spannendes passiert ist.
