Redenomination of the share capital into Euro
On June 18, 2001, in execution of the resolution adopted by the Extraordinary Shareholders' Meeting held on June 1, 2001 enrolled in the Rome Companies Register on June 6, 2001, Eni S.p.A. share capital will be redenominated into Euro. Therefore the nominal value of Eni S.p.A. shares (the "Shares") will be reduced from 0.516 Euro, corresponding to the current nominal value of Lire 1,000, to 0.5 Euro and the Shares will be grouped at a 2:1 ratio in Shares with a nominal value of 1 Euro.
The grouping operations may be executed only through the authorised financial intermediaries participating to the Monte Titoli S.p.A. (the Italian Securities Register Centre) system according to the instructions of the Eni shareholders.
The number of Shares before the grouping operations may be rounded up or off in order to let their owners hold an entire number of Shares after the grouping operations by acquiring or selling the Shares owned through the related financial intermediaries by Banca di Intermediazione Mobiliare IMI S.p.A. - Banca IMI from June 18, 2001 to July 20, 2001. The sale and purchase of said Shares will be executed at a price corresponding to the half of the official price of the Shares recorded on the electronic stock market organised and managed by the Italian Stock Exchange (Borsa Italiana S.p.A.) on the day of the operation. No fee will be charged to the holders of said Shares.
If not otherwise instructed, the financial intermediaries will round off the number of Shares held before the grouping operations; however the number of Shares held by each owner after the grouping will not be less than one.
According to the agreements with the Borsa italiana S.p.A. Eni shares with nominal value of Lire 1,000, ISIN Code 0001009890, will be traded until June 15, 2001 whereas Eni shares with nominal value of Euro 1, ISIN Code 0003132476, will be traded from June 18, 2001.
Shareholders holding shares not yet dematerialised, shall previously deliver said shares to a financial intermediary for their deposit with Monte Titoli S.p.A. and their subsequent dematerialisation.
Beneficial Owners of ADRs, listed on the New York Stock Exchange, each ADR representing ten ordinary shares issued by Eni S.p.A., who have deposited their ADRs with the Morgan Guaranty Trust Company of New York - ADR Depositary (MGT) - will be entitled to ask MGT to amend the ADRs so that each ADR reflects the new terms, according to the redenomination of Eni share capital into Euro. No fee will be charged to the beneficial owners of ADRs.
According to the agreements with the New York Stock Exchange, ADRs representing ten Eni shares with nominal value of Lire 1,000, will be traded until June 15, 2001; ADRs representing five Eni shares with nominal value of Euro 1, will be traded from June 18, 2001.
Pursuant to the redenomination, Eni outstanding share capital will amount to Euro 4,001,116,976 divided into 4,001,116,976 shares, nominal value 1 euro.
