The deal, still subject to change by the House if there is disputed language in the bill, will likely see a vote Wednesday.

Hemp is a legal crop, so the farmers and businesses involved with it will be eligible for relief, according to Jonathan Miller, a Kentucky-based attorney and director of the advocacy group U.S. Hemp Roundtable.

“Now that federal law treats hemp as an agricultural commodity and not a controlled substance, we would expect that distressed hemp farmers would have access to the same emergency federal funds as growers of other crops,” Miller told Hemp Industry Daily.

VANCOUVER, BC / ACCESSWIRE / July 31, 2020 /GLOBAL HEMP GROUP INC. ("GHG" or the "Company") (CSE:GHG)(OTC PINK:GBHPF)(FRANKFURT:GHG) is pleased to announce that it will be making a rights offering (the "Rights Offering") in which holders of record of the Company's common shares, as of the record date of August 4th 2020 (the "Record Date"), will receive rights to subscribe for units of the Company.

Full details of the Rights Offering are included in a Rights Offering circular, which will be filed today under GHG' profile on SEDAR at www.sedar.com. The circular and related materials will also be mailed to registered holders of Common Shares as of the Record Date.

Rights Offering Details

Each registered shareholder of the Company resident in Canada as of the close of business on the Record Date will receive one right (a "Right") for every three (3) common share held.

One Right entitles the shareholder to purchase one unit (a "Unit") at a price of $0.02 per Unit (the "Basic Subscription Privilege"). The Rights will expire at 5:00 p.m. (Eastern Time) on September 4, 2020 (the "Expiry Date"). Holders of Rights who fully exercise their Rights under the Basic Subscription Privilege will also be entitled to subscribe, on a pro rata basis, for additional Units, if available, that were not subscribed for by other holders of Rights (the "Additional Subscription Privilege"), subject to certain limitations as set out in the Company's Rights offering circular (the "Rights Offering Circular").

Each Unit will consist of one (1) Common Share of the Company and one (1) full Share Purchase Warrant (the "Warrant"). Each whole Warrant will entitle the holder to purchase one additional Common Share at a price of $0.05 for a period of thirty-six (36) months from its issuance. The Rights will be transferable and listed for trading on the Canadian Securities Exchange (the "Exchange"). The Warrants, when issued, are also expected to be listed on the Exchange, subject to GHG satisfying the distribution requirements of the Exchange.

In the event that the Company's common shares trade on the Canadian Securities Exchange (or such other exchange on which the common shares may be traded at such time) at a volume weighted average price of $0.12 per share or more for a period of 10 consecutive trading days, the Company will have the right to accelerate the expiry date of the Warrants by giving notice to the holders thereof and, in such case, the Warrants will expire on the 30th day after the date on which such notice is given to the holder by the Company.

The Rights will be listed and posted for trading on the Exchange under the symbol "GHG.RT" and will expire at 12:00 p.m. (Eastern Time) on the Expiry Date, after which time unexercised Rights will be void and of no value. The CUSIP number for the Rights is 37953Y112.

The Rights Offering is not subject to any minimum subscription level. If the Rights Offering is fully subscribed, the Company will issue up to 62,732,338 new common shares and Warrants to purchase up to an additional 62,732,338 common shares, for total gross proceeds of approximately $1,254,646. If the Rights Offering is fully subscribed and all of the Warrants issued on closing of the Rights Offering are exercised, the additional proceeds to the Company will be $3,136,617.

There are currently 188,197,016 common shares issued and outstanding. If all Rights are exercised, the Company's issued and outstanding shares will increase to 250,929,354 and if all Warrants covered by this Rights Offering are exercised, the issued and outstanding shares will be 313,661,692.

To the knowledge of the Company, no directors, senior officers and persons controlling over 10% of the Common Shares of the Company (collectively, the "Insider Group"), as the date hereof, will be participating in this Rights Offering or expressed their intention to participate in the Rights Offering.

A Notice of Rights Offering and a Rights certificate will be mailed to each registered shareholder of the Company resident in Canada as at the Record Date. Registered shareholders who wish to exercise their Rights must complete the Rights certificate, and deliver the certificate together with the applicable purchase funds, to the Subscription Agent, Odyssey Trust Company, before 5:00 p.m. (Eastern Time) on the Expiry Date. In 2003 Mr. Gauthier started his own hemp building company, ArtCan. Through ArtCan he has helped numerous people build their own hemp houses and has developed hemp building materials and tools for the industry. In 2010 ArtCan became a supplier of consulting services and hemp building materials and equipment. War die begründung meiner sperre. Was  will man denn mit der wahrheit manipulieren? Versteh ich nicht aber egal .

Hast du geschrieben marktkapitalisierung  von 4 Millionen und deine Erwartung für Ende 2020 bei ca 0,20 Cent. Und heute : Ende 2020 marktkapitalisierung  1,3 Millionen und Kurs von 0,006 Cent.
Da lagst du aber so was von daneben. Ich für meinen Teil denke immer noch, das wird nix mehr hier.  
Wer hier investiert kann auch ein totes Pferd reiten. Na gut mein Geld hatt diese Firma durchgebracht aber neues Geld von mir gibt's nicht mehr, auch wenn es noch so billig aussieht.

Könnte durchaus sein - das wird bald einen Boom wie Ende 2017 sehen werden.
Ich hab hier und das wieder aufgestockt - auch bei GHG bin ich weiter stark mit dabei, und habe verbilligt.
Von mir aus können wir in den nächsten 6 Monaten wieder den Angriffs auf Allzeithoch machen.
GHG war mal bei ca. 0,40 CAD ca.  0,27 €-Cent.

Im Rahmen der geplanten Transaktion ist GHG dabei, aktualisierte Bewertungen dieser Wasseranlagen in Auftrag zu geben. Die dokumentierten historischen Bewertungen der 4.000 Hektar großen Wasserrechte und der damit verbundenen Infrastruktur basieren auf einem MAI-Gutachten und technischen Berichten für 2013 und 2015 sowie auf einer umfassenden Zusammenfassung verschiedener historischer Wasserrechtsgutachten und ihrer Beziehung zu den Landwerten vom März durch einen Anwalt für Wasserrecht 2017. Alle unterstützen einen Wert von 40.000.000 USD oder höher. GHG beabsichtigt, eine Bewertung dieses anfänglichen Bewertungswerts durch Dritte durchzuführen, um eine solche Bewertung zu unterstützen.

Transaktionsdetails:

Prescient Strategies Group LLC hält derzeit 19.875.000 WSRC-Präferenzen der Serie A (mit Stimmrechten von 100 Stimmen pro Aktie). Mit der Unterzeichnung der endgültigen Vereinbarung, die voraussichtlich am oder um den 25. Januar 2021 abgeschlossen wird, wird GHG 11.006.440 unbelastete WSRC Prefs von PSG für 11.006.400 GHG Preferred B-Aktien („GHG Prefs“) (die „Erstemission“) erwerben. wie weiter unten ausführlicher beschrieben.

Weitere 8.868.560 WSRC-Präferenzen wurden als Sicherheit für die Sicherung von 3.842.269 USD-Darlehen an WSRC (das „Darlehen“) verpfändet. Diese belasteten WSRC-Präferenzen werden von GHG auch im Rahmen der Restrukturierung der bestehenden Schulden der WSRC (die „WSRC-Schulden“) im Rahmen der Konsolidierung, Refinanzierung oder Erweiterung der bestehenden WSRC-Schulden (der „WSRC-Schuldenrestrukturierung“) erworben, sind jedoch nicht darauf beschränkt. ). THG Pref Details:

Die GHG Prefs haben einen Nennwert von 0,50 USD pro Vorzugsaktie und ein Fälligkeitsdatum von zehn (10) Jahren nach ihrer Ausgabe. Die GHG Prefs sind nicht stimmberechtigt, zahlen eine jährliche Dividende von 0,01 USD pro Aktie, die nach Wahl des Inhabers in bar oder in Aktien ausgezahlt wird, und können für jede gehaltene GHG Pref in zwei (2) Stammaktien von GHG umgewandelt werden von jedem Inhaber davon.

Die THG Prefs werden von den WSRC Prefs gesichert. Die GHG Prefs können von GHG zum Nennwert zuzüglich aufgelaufener und nicht gezahlter Dividenden jederzeit nach Verlängerung der Refinanzierung der WSRC-Schulden und Verlängerung der Laufzeit der WSRC-Schulden auf einen Zeitraum von mindestens drei (3) Jahren zurückgezahlt werden.

Should PSG beschließen , ihren THG - Prefs in einer privaten Dritten Transaktion zu verkaufen, GHG wird einen 30 Tage Vorkaufsrecht (das ‚‘ GHG ROFR ‚‘) gewährt jedes anzupassen bona fide von einem Dritt Angebote, bevor PSG Dose auf ein solches Angebot Dritter reagieren.

Bedingungen Vor der Unterzeichnung der endgültigen Vereinbarung:

Die Parteien, die die endgültige Due Diligence am oder vor dem 25. Januar 2021 abschließen;

WSRC Restrukturierung bestimmter ungesicherter Schulden vor der Ausgabe der GHG Prefs;

GHG verpflichtet sich, die erforderlichen Anfangszahlungen für den Abschluss der Transaktion und anderer Umschuldungen bereitzustellen.

Nach Abschluss der Übernahme aller WSRC-Präferenzen ernennt GHG nach Bedarf weitere WSRC-Vorstandsmitglieder und -Berater, die den Nominierungsverfahren des WSRC unterliegen.

Während des gesamten Prozesses wird GHG eng mit dem Management von WSRC zusammenarbeiten und dieses unterstützen, um den Wert der Vermögenswerte von WSRC zu maximieren.

Sobald dies praktikabel ist, muss jede Partei alle erforderlichen Informationen und Unterlagen bereitstellen, um bei der kanadischen Wertpapierbörse (der „CSE“) gegebenenfalls einen Antrag auf Genehmigung der Transaktion zu stellen.

Vielleicht knacken wir heute ja schon die die 10 Cent Marke drüben in CA/USA.

Der Trend hat jedenfalls deutlich gedreht, zudem Pro Hemp Lager jetzt in USA mit Biden und Harris.
Ich denke hier ist noch viel viel mehr drin bei GHG die nächsten Monate, wenn sie es richtig anpacken.
Außerdem geht ja zudem ein Blick von GHG auch Richtung Mexico. Mal sehen was daraus noch wird.

Vancouver, BC - (27. Januar 2021) - Die GLOBAL HEMP GROUP INC. („GHG“ oder das „Unternehmen“) (CSE: GHG / OTC: GBHPF / FRANKFURT: GHG) gibt bekannt, dass 2.500.000 zuvor ausgegebenen Aktienoptionen gewährt wurden Direktoren, Management und Berater am 24. September 2018 für 2.500.000 Aktien wurden annulliert. Der Ausübungspreis der gekündigten Aktienoptionsvereinbarungen betrug 0,16 USD je Aktie. Die Aktienoptionen wurden von den Inhabern freiwillig ohne Gegenleistung zurückgegeben.

Das Unternehmen gab außerdem bekannt, dass es Direktoren, Management und Beratern neue Aktienoptionen gewährt hat, die im Rahmen seines Aktienoptionsplans insgesamt 2.500.000 Stammaktien zu einem Preis von 0,06 USD je Aktie ausübbar sind. Die Optionen sind zum Zeitpunkt der Gewährung unverfallbar und haben eine Laufzeit von fünf Jahren. Keine der Optionen wurde Personen gewährt, die in die oben genannte Stornierung einbezogen waren.

Der daraus resultierende Erwerb dieser WSRC-Vorzugsaktien ermöglicht GHG die Kontrolle über WSRC und insbesondere über dessen strategischen Wasserinfrastrukturaktiva, die ein fester Bestandteil des Projekts Colorado Hemp-Agro Industrial Zone (die HAIZ) des Unternehmens sein werden. Die dokumentierten historischen Bewertungen der 4.000 Acre-Feet umfassenden Wasserrechte und der damit in Zusammenhang stehenden Infrastruktur basieren auf Gutachten und technischen Berichten von MAI aus den Jahren 2013 und 2015, die zusammen einen Wert von mindestens 40.000.000 US-Dollar belegen. GHG hat zur Unterstützung dieses Gutachtens eine Drittpartei mit der Bewertung dieses ersten Evaluierungswertes beauftragt.

Die Colorado HAIZ wird im Namen von Innovative Hemp Technologies (IHT) geschaffen werden. Das Hauptziel von IHT besteht in der Schaffung von grünem und leistbarem Wohnraum in einem Planned Unit Development (das PUD) unter Verwendung von Baumaterialien auf Hanfbasis, um den historischen Nachholbedarf in der Region zu decken, was die Entwicklung einer großflächigen Bewässerung und den Anbau von Industriehanf sowie die Herstellung von Bauprodukten und Textilien auf Hanfbasis umfassen wird. Dies wird die bestehenden Wasserrechte und Infrastrukturaktiva beträchtlich erweitern und gleichzeitig mehrere Cashflows für das Unternehmen generieren.

Durch die Nutzung eines Campus-Umfelds wie jenes der HAIZ wird das Unternehmen diese vertikal integrierten Funktionen (Wasser, Landwirtschaft, Verarbeitung, Wohnraum) effizient umsetzen. Bewährte Branchenexperten wurden beauftragt, um an der Seite des Managements von IHT in den Bereichen Landwirtschaft, F&E, Fertigung und Bauwesen zu arbeiten, um die Ziele des Unternehmens zu erreichen.
