ADS System schafft Markteintritt in der Schweiz durch Uebernahme der Indata
Systems AG.
Bad Homburg, 20. April 2000. ADS System (WKN 514780) wird rueckwirkend
zum 1. Januar 2000 alle Aktien der Schweizer Indata Systems AG (Dierikon,
Luzern) uebernehmen. Beide Unternehmen unterzeichneten am 20. April 2000
einen Letter of Intent. Die Transaktion steht unter dem Vorbehalt der
Zustimmung des Aufsichtsrates. Ueber den Kaufpreis wurde Stillschweigen
vereinbart. Mit dieser Akquisition vollzieht ADS System nach der erst kuerzlich
erfolgten Eroeffnung einer Vertretung in Wien einen weiteren Schritt im Rahmen
der Internationalisierungsstrategie.
Mit seinen Kernkompetenzen in den Bereichen Consulting, Netzwerk-
Betriebssysteme, Internetworking und Messaging ist der IT-Netzwerk-
Dienstleister Indata Systems ein idealer Partner fuer die Erschliessung des
Schweizer Marktes. Das Unternehmen hat sich seit acht Jahren sehr erfolgreich
entwickelt und erzielte 1999 einen Umsatz von ca. 4,8 Mio. SFR.
Die neue ADS-Vertriebs- und Serviceorganisation in der Schweiz wird das
Basisgeschaeft der Indata Systems um weitere Bereiche wie Multiservice,
Security und IP ueber Breitbandkabel ergaenzen. Das bisherige Indata-
Management, Goetz Hoffmann und Rolf Auer, bleibt der ADS System mit ihrem
Know-how und ihrer Kenntnis des Schweizer Marktes erhalten. Durch die
neuen Standorte in der Schweiz und in Oesterreich kann ADS System
international taetigen Kunden jetzt einen erweiterten Service und das komplette
ADS-Leistungsspektrum im gesamten deutschsprachigen Raum anbieten - von
der Konzeption und Realisierung von komplexen, kundenspezifischen
Netzwerk-Loesungen bis hin zum Support.

ADS System Debuts on Swiss Market with Takeover of Indata
Systems AG.
Bad Homburg, Germany April 20, 2000. Retroactive to January 1, 2000, ADS
System (WKN 514780) is acquiring all the shares in the Swiss company Indata
Systems AG (Dierikon, Lucerne). The two companies signed a letter of intent to
this effect on April 20, 2000. The transaction is contingent upon the approval
of the supervisory board. The parties have agreed not to comment on the
purchase price. In the wake of establishment of an office in Vienna just
recently, this acquisition represents for ADS System a further step in its
internationalization strategy.
With core areas of competence in the areas consulting, network operating
systems, internetworking and messaging, Indata Systems is, as IT network
service provider, an ideal partner for development of the Swiss market. The
company, which has developed very well in the last eight years, realized sales
of around SFR 4.8 million in 1999.
The new ADS sales and service organization in Switzerland will complement
Indata Systems basic business with further areas like multiservice, security
and IP via broadband. The previous Indata management, Goetz Hoffmann and Rolf
Auer, who are staying on at ADS System, will contribute his know-how and
knowledge of the Swiss market. Thanks to the new locations in Switzerland and
Austria ADS System can now offer internationally active customers expanded
service and the complete spectrum of ADS services throughout the German-
speaking countries - from the conception and realization of complex, customer-
specific network solutions on through to support.
