Ergänzung meines gestrigen Postings
Meiner Meinung können wir von einer klaren short-seller Attacke ausgehen.
Gründe:
1. Der Wechsel eines Wirtschaftsprüfers (Auditor) kann nur bei einer Stärke des
Unternehmens vorgenommen werden.
2. Bei Ungereimtheiten würde die SEC
(www.nasdaq.com/asp/...ews.asp?symbol=SCMM%60&selected=SCMM%60)
den Wechsel unterbinden. Die Offenlegung der Gründe wäre dann zwingend
erforderlich.
3. Basis für die short-seller Attacke war ein Bericht über Tyco (siehe Artikel unten) von
Howard Schilit`s Center for Financial Research and Analysis. Dieser Artikel wirft Tyco
Bilanzmanipulation vor.
In diesem Zusammenhang wurde gesagt, daß man auch ein Auge auf SCM haben
sollte.
4. Nach Rücksprache mit dem Unternehmen haben sowohl der PR-Verantwortliche H.
James und Herr Schneider persönlich diese Vorwürfe als groben Unfug und nicht
zutreffend bezeichnet.
5. Nach Aussagen des Vorstandes werden, wie ich bereits vermutet hatte, die Zahlen
im Rahmen der in München stattgefundenen HV bereits prognostizierten Ergebnisse
liegen.
6. Nochmals, falls das Jahresziel, welches nicht revidiert wurde, erreicht werden soll
müssen die Zahlen ausgesprochen gut ausfallen.
7. Die short-seller haben ähnlich wie bei LHS ein Liquiditätsproblem (Stückzahl) falls es
nur Verkäufe waren und die Vorwürfe zutreffend wären hätten wir eher KLurse von 20$
gesehen. Das hohe Volumen ist eine einmalige Gelegenheit große Stückzahlen
einzudecken.
8. Auch heute kann ich nur nochmals betonen, da mein Kursziel bei 100$ Ende 2000
und kfr. Ende des Monats eher bei 50 als bei 40$.
Hervorragende und m.M. nach letzte Chance für einen mindestens 20%
Kursanstieg in den nächsten tagen eröffnet sich für die Aktie von SCM
Microsystem.
Nachdem der Aktienkurs an der Nasdaq um bis zu 15% gefallen war wurden
Fragen nach den Gründen laut.
Hier die Gründe falls es welche geben sollte.
SCM hat seine Wirtschaftsprüfungsgesellschaft ausgetauscht.
Dies kann mehrere Gründe haben:
1. zu teuer
2. keine Leistung
3. Meinungsverschiedenheiten zB. Bilanzierungspraktiken
Die Tatsache, daß SCM die WP-Gesellschaft austauscht halte ich für ein Zeichen
der Stärke des Unternehmens.
==> Nach Aussage des Unternehmens war nicht der Punkt 3. der Grund für die
Auswechslung.
Mit Deloitte & Touch wurde die Verlagerung der Produktionsstätte nach Singapur
und die entsprechenden Beratungen durchgeführt.
==> dies führt im übrigen zu einer sog. tax-free-status von 7 Jahren!!
Das Zahlenwerk wird positiv sein, ich kann dies nur nochmals wiederholen, da
es keine! Gewinnwarnung gab und nach einem schwachen 2Q99 ohne Revision
der Zahlen
für 99 eher besser sein müßten.
Heute haben die shorties zum ersten mal seit längerer Zeit die Möglichkeit
größere Stückzahlen einzudecken.
Meine Prognose für Morgen lautet bei einem aktuellen Kurs von 40,25$ zunächst
schwaches Listing NM dann Kurse um 42-44 Euro am Nachmittag.
Ich betone nochmals mein Kursziel von 100$ bis Ende 2000

Tyco Blasts Rumors As Shares Drop

BOSTON (Reuters) - Investors hammered shares of Tyco International Ltd (NYSE:TYC -
news). for a second day Thursday
despite strong denials of any accounting improprieties by the multibillion-dollar
conglomerate.
Shares in the maker of Curaid bandages, fire fighting equipment and ADT security
systems finished down 9 points to close at 87.
Tuesday, Tyco's stock closed at 103-6/16.
Tyco Chief Executive L. Dennis Kozlowski called a report questioning his firm's
accounting a report by the Dallas-based research
firm, David W. Tice, ``false, unfounded and malicious.''
``There are no restatements coming from Tyco, there are no irregularities, there are no
investigations, nor are there any reasons
for any investigations,'' Kozlowski told analysts before the market opened.
But despite the very public denials and subsequent analysts comments recommending
the stock as a strong buy, investors
continued to sell.
``There's a lot of scared money in the market,'' said Standard & Poor's analyst Michael
Jaffe who reiterated his strong buy on
Tyco. ``Perhaps people felt they had made so much money on this stock that they
should just book the profit.
In the last 12 months Tyco shares have soared to 107-12/16 from 46-7/16.
``This is a very unforgiving market and at the merest hint of any kind of possible
impropriety, people run,'' Jaffe said.
Kozlowski, who owns 5.1 million shares, was ``particularly outraged that one
individual, who has never had any contact with this
company, whatsoever ...(wrote) false and misleading statements about Tyco.
Tice said it was not uncommon for analysts at his 12-year-old independent research
firm to not contact company executives.
``That's what 10Ks and 10Qs are for,'' Tice said, referring to company's annual reports
and quarterly statements that are filed
with the U.S. Securities and Exchange Commission.
Monday, Tice, who also manages the Prudent Bear Fund, sent his firm's Tyco report to
more than 200 institutional money
managers. The proprietary report, Tice said, noted Tyco's ''heavy use of pooling
accounting and pooling accounting is now being
phased out...'' and questioned the use of large reserves related to acquisitions.
``Now, this is a gray area. But this is what we do. We question quality of earnings. This
is our opinion,'' Tice said.
He said his firm's Prudent Bear Fund, a separate operation from the institutional
research area, had not shorted Tyco stock.
But Tyco, which is headquartered in Hamilton, Bermuda but operated out of Exeter,
N.H., assured analysts they felt ``very
comfortable'' with earnings per share estimates and confident that when they report
fourth quarter earnings next Thursday, cash
flow for the quarter would be even greater than the $790 million in June.
According to First Call, the mean earnings per share estimate by 15 brokers for Tyco's
fourth quarter is 89 cents and $3.03 for
the year.
To buttress their points, Kozlowski and CFO Mark Swartz told the analysts, ``As you look
forward to next year...we will have
greater than 85 percent of our earnings come through in cash flow as the year goes
through.''
Kozlowski quantified that amount saying ``We're looking at approximately $3.3 billion
where we sit right now of free cash flow
for next year''
Cash flow is one way analysts measure the quality of a company's earnings.
Almost immediately after the call, at least three analysts, Deutsche Bank Alex, Brown,
CS First Boston and S&P reiterated their
strong buys on the stock.
But the sell-off continued.
In the past 12 months, Tyco, which expects to have about $22 billion in revenues for
FY1999, has announced or completed
almost $21 billion in acquisitions, a company spokesman said.
``In the past seven years, we've done 110-plus acquisitions. Of that number about six
were accounted for by pooling,'' Tyco
spokesman Brad McGee said.
Securities and Exchange Commission Chairman Arthur Levitt has questioned the
validity of the pooling of interests accounting
method, where the balance sheets of the two companies involved are simply added
together. The Financial Accounting Standards
Board has ruled that the method be phased out by 2001.
